Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Telosi ("we," "us," or "our"), governing your access to and use of the Telosi website, application, and services (collectively, the "Service").

By accessing or using the Service, clicking "I Agree," or completing a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

1. Description of Service

Telosi provides an AI-powered job application intelligence platform that generates research briefs, role analyses, and application materials (collectively, "Application Kits") for job seekers. The Service uses artificial intelligence, including third-party AI models, to analyze publicly available company information and user-provided data to produce customized outputs.

Each Application Kit includes: (a) a Strategic Due Diligence Brief containing company research and analysis; (b) a Role Deconstruction Analysis; (c) a Fit Intelligence Report; (d) an Intelligence-Driven Resume; and (e) an Intelligence-Driven Cover Letter.

2. Eligibility

You must be at least 18 years old and located in the United States to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into these Terms.

3. User Accounts and Data

3.1 Data You Provide

To use the Service, you will provide: (a) job posting information for the role you are applying to; (b) your resume or professional background information; (c) the company name and role title; and (d) payment information processed through our third-party payment processor.

3.2 Accuracy of Information

You are solely responsible for ensuring the accuracy and completeness of all information you provide. Telosi is not responsible for any errors or omissions in the Application Kit resulting from inaccurate or incomplete user-provided data.

3.3 Data Retention

We retain your data as described in our Privacy Policy, including 90 days for application materials containing personal information and 7 years for transaction records. You may request deletion of your data at any time by contacting us at support@telosi.io.

4. AI-Generated Content Disclaimer

You acknowledge and agree that:

• (a) AI-generated content may contain inaccuracies, errors, or omissions. AI systems can produce incorrect information, misinterpret data, or generate content that does not reflect actual facts ("hallucinations").
• (b) You are solely responsible for reviewing, verifying, and editing all content before use. You should not submit any Application Kit materials to employers without first reviewing them for accuracy, appropriateness, and alignment with your actual qualifications and experience.
• (c) The Service does not guarantee that AI-generated content is accurate, complete, current, or suitable for any particular purpose.
• (d) Company information in the Strategic Due Diligence Brief is derived from publicly available sources and may be outdated, incomplete, or inaccurate.
• (e) Telosi does not guarantee that use of the Service will result in job interviews, job offers, or employment.

5. Third-Party AI Services

The Service utilizes third-party AI services, including but not limited to Anthropic, OpenAI, and Tavily, to generate and support content creation. By using the Service, you acknowledge that:

• (a) Your data may be transmitted to and processed by these third-party AI providers in accordance with their respective terms of service and privacy policies.
• (b) Telosi does not control the underlying AI models and cannot guarantee their performance, availability, or outputs.
• (c) Third-party AI providers may update their models at any time, which may affect the quality or nature of outputs.

6. Payment and Refunds

6.1 Pricing

Each Application Kit is sold at the price displayed at the time of purchase (currently $29.99 USD). All prices are in U.S. dollars and are subject to change without notice. Payment is processed through Stripe, our third-party payment processor.

6.2 No Refunds

6.3 Exceptions

In our sole discretion, we may provide a refund or credit if: (a) there is a verified technical failure that prevented delivery of your Application Kit; or (b) the Application Kit was materially incomplete due to a system error. To request consideration for an exception, contact support@telosi.io within 7 days of purchase.

7. Intellectual Property

7.1 Your Content

You retain ownership of the content you provide to the Service (your resume, professional background, etc.). By providing content, you grant Telosi a limited, non-exclusive license to use, process, and transmit that content solely for the purpose of providing the Service.

7.2 Application Kit Ownership

Upon payment, you receive a perpetual, non-exclusive license to use the Application Kit for your personal job search purposes. You may not resell, redistribute, or commercially exploit Application Kit content.

7.3 Company Research Data

Strategic Due Diligence Briefs are derived from publicly available information and generated by Telosi's AI systems. Telosi retains ownership of the underlying company research data and may use anonymized, non-personally-identifiable research content for service improvement, content development, and other commercial purposes.

7.4 Telosi IP

The Service, including its design, features, algorithms, and branding, is owned by Telosi and protected by intellectual property laws. Nothing in these Terms grants you rights to use Telosi's trademarks, logos, or branding.

8. Acceptable Use

You agree not to:

• (a) Provide false, misleading, or fraudulent information about your qualifications or experience.
• (b) Use the Service to generate content that misrepresents your identity or qualifications to employers.
• (c) Attempt to reverse-engineer, decompile, or extract the underlying algorithms or models.
• (d) Use automated systems (bots, scrapers) to access the Service.
• (e) Resell, sublicense, or commercially distribute Application Kits or any Service outputs.
• (f) Use the Service for any unlawful purpose or in violation of any applicable laws.

9. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, TELOSI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• (a) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• (b) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES;
• (c) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT;
• (d) WARRANTIES THAT THE SERVICE WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS.

10. Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Telosi, its owner, affiliates, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• (a) Your use of the Service or any Application Kit;
• (b) Your violation of these Terms;
• (c) Your violation of any rights of a third party;
• (d) Any content you provide to the Service;
• (e) Any misrepresentation of your qualifications or experience to employers using materials generated by the Service.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at support@telosi.io to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

12.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in Williamson County, Tennessee, unless you and Telosi agree otherwise.

Notwithstanding the above, either party may bring an individual action in small claims court if the claim qualifies.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Williamson County, Tennessee.

14. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

15. Force Majeure

Telosi shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of third-party AI service providers (including Anthropic and OpenAI), internet service provider failures, or other causes beyond our reasonable control.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service with a new "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Telosi regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17.5 Survival

Sections 4, 7, 9, 10, 11, 12, 13, 14, and 15 shall survive termination of these Terms.
